ACI Worldwide Announces Pricing of Senior Notes

NAPLES, Fla.--(BUSINESS WIRE)-- ACI Worldwide, Inc. (NASDAQ:ACIW) today announced that it priced the previously announced offering of 6.375% senior notes due 2020 (the "Notes"). The aggregate principal amount of the Notes is $300 million. The offering will be made to "qualified institutional buyers" as defined in Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and in offshore transactions pursuant to Regulation S under the Securities Act.

The issuance of the Notes is anticipated to close on August 20, 2013, subject to customary closing conditions. The Notes will pay interest on a semi-annual basis.

ACI intends to use the net proceeds of the offering to repay the outstanding amount under the revolving portion of its senior secured credit facility, for general corporate purposes and to pay related fees and expenses.

The notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements of the Securities Act and other applicable securities laws.
